1. Scope of Services
1.1 Services are defined in a written proposal, SOW, or project
agreement that references these Terms.
1.2 Any work outside the agreed scope requires a written change order
and may affect timeline and cost.
1.3 We provide professional services on a best-effort basis but do not
guarantee specific business outcomes, revenue, user growth, or search
rankings.
2. Project Process & Collaboration
2.1 The Client agrees to provide timely feedback, content, access, and
decisions needed to complete the project.
2.2 Delays caused by the Client may extend timelines and, in some cases,
incur additional costs.
2.3 We may use project-management tools, shared documents, and
communication channels to coordinate work.
2.4 The Client is responsible for appointing a single primary contact
for decisions and approvals.
3. Fees, Payments & Milestones
3.1 Fees are as stated in the proposal/SOW and may be structured as
fixed-price, milestone-based, or time-and-materials.
3.2 Unless otherwise agreed:
-
A deposit is required before work begins.
-
Milestone payments are due upon invoice.
-
Final delivery and code handover occur after full payment.
3.3 Invoices are payable within [Insert Number, e.g., 7] business days unless otherwise stated.
3.4 Late payments may result in paused work, delayed delivery, or suspension of access to deliverables until settled.
3.5 All fees are exclusive of taxes, duties, and third-party costs unless explicitly included.
4. Revisions & Change Requests
4.1 The proposal/SOW includes a defined number of revision rounds for
design and deliverables.
4.2 Additional revisions or significant changes beyond scope will be

6. Intellectual Property -- Ownership
6.1 Client Inputs: All materials, data, logos, content, and assets
provided by the Client ("Client Inputs") remain the Client's property.
6.2 Final Deliverables: Upon full payment of all fees, the Client

subject to Section 6.3.
6.3 Foster Labs IP: We retain ownership of:
-
Pre-existing tools, libraries, frameworks, components, and internal code.

7.4 The Client is responsible for ensuring that their use of delivered
outputs complies with applicable laws and third-party terms.
8. Third-Party Services & Open Source
8.1 Projects may incorporate third-party services (hosting, APIs, SaaS,

8.2 We are not responsible for third-party service outages, changes, or

8.3 Open-source components remain subject to their original licenses; we
will disclose material open-source dependencies where relevant.
